TERMS OF PAYMENTS:

We accept MasterCard, VISA, Discover, American Express, PayPal, or you may open a Net 30 account with approved credit.

We also accept payment by EFT/wire transfer, please contact customer service for EFT fees and details.

For open accounts our terms are Net 30 days with approved credit. Payment is due and payable in full within 30 days of invoice unless otherwise agreed upon in writing.

The seller reserves the privilege of declining to make deliveries except for cash whenever, for any reason, doubt as to the buyer’s financial responsibility develops, and shall not, in such event be liable for nonperformance of contract in whole or in part.

Past due amounts are subject to late payment service charges of 1 ½% per month, which is an annual rate of 18%. A service charge of $25.00 will be applied to each returned check. If your terms were set up through Resolve, you will be subject to their fees.

Accounts 61 days old will be placed on C.O.D. at the discretion of the seller. Legal action may be taken after an account debt becomes 90 days old.

Title to any and all goods or materials hereafter purchased shall remain with Marshall Wolf Automation as security until the full purchase price has been paid. Risk of loss shall pass to buyer upon delivery to carrier at Marshall Wolf Automation’s F.O.B. Point.

Failure by customer to pay any part of the purchase price when due, or in the event that the proceedings in bankruptcy, receivership or insolvency by or against customer or his property supplier may, at its option, cause the entire unpaid balance to become due and immediately payable and the supplier shall have the right to enter at any time without notice upon the premises where any of the materials purchased by the customer are located.

Customer hereby expressly waives any right to action which may accrue by reason of the entry for taking possession for or the selling of said materials and agrees to pay all costs incurred with respect thereto including service charges and reasonable attorney’s fees and court costs.

PRICES: Quoted prices do not include any taxes, transportation charges, custom fees, special packaging or labeling or other miscellaneous items or services not specified. Prices are subject to change at any time.

Your receipt of an electronic order confirmation does not signify our acceptance of your order. Marshall Wolf Automation reserves the right at any time after receipt of your order to accept or decline your order for any reason.

TAXES:  The prices for goods do not include any sales, use or other taxes or charges payable to state or local authorities. To the extent that such taxes do not appear as an additional separately itemized charge, Buyer certifies that the sale of the goods is exempt from such tax and Buyer assumes the liability for any such tax which may be found to be due, hereby agreeing to indemnify and hold Marshall Wolf Automation harmless with respect thereto.

ORDER CHANGES: No order accepted by Marshall Wolf Automation may be altered or modified by buyer unless agreed to in writing and signed by an authorized official of Marshall Wolf Automation. Charges arising from any modification or alteration are the responsibility of the buyer.

No order may be cancelled or terminated without approval of Marshall Wolf Automation and receipt of payment for any loss, damage and expenses arising from such cancellation or termination.

If you need to cancel your order and it has already been processed, shipped or received in our warehouse there may be a restock fee. Every effort will be made to cancel your order, however, order cancellation is subject to our manufacturer's cancellation policy. If the product has been special ordered or is a non-stock item it may be non-cancelable.

RETURNS: Marshall Wolf Automation can accept, for exchange or return, items which were purchased direct from us within the last 30 days and are in new resalable condition. Restocking fees may apply. This excludes non-standard and custom products.

An RGA must be obtained from our returns department before product is returned.

Products that are returned without an appropriate RGA number will not be accepted and returned to the sender at sender’s expense. The customer is responsible for all shipping fees associated with returns.

Items returned after 30 days will be subject to a restock fee. The standard restocking charge for goods returned beyond 30 days is a minimum of 35% of the sale price. Non-standard products that are returned will be charged based on the Manufacturer’s restock fee to Marshall Wolf Automation and will be advised at the time the RGA is given. Restocking charges can be handled on a case-by-case basis.

Non-standard and custom products are non-cancelable and non-returnable. Non- standard or custom products are defined as products that are special order, custom orders, orders built to customers specifications, products not stocked by Marshall Wolf or orders for value-added products.

Products returned must be new, unused and in their original undamaged boxes with original packing material and product literature. All returns will be inspected upon arrival to our warehouse. 

DELIVERY SCHEDULE: Marshall Wolf Automation shall not be liable for delays in delivery or failure due to causes beyond reasonable control of Marshall Wolf Automation. Marshall Wolf Automation reserves the right to bill for merchandise and charges for warehousing, insurance, trucking, and other associated expenses, if and when shipment should be held beyond scheduled date at the request of buyer.

Quoted leadtimes are based on manufacturer estimates as well as estimated shipping time. Marshall Wolf Automation ships using UPS, however, we can ship many other methods by using your account #. Shipments to Canada may be subject to additional customs charges and taxes.

SHIPMENT: All orders are shipped Marshall Wolf Automation F.O.B. point in Algonquin, Illinois or other locations designated by Marshall Wolf Automation. Freight charges will be billed by Marshall Wolf Automation unless freight arrangements are made and paid for by the buyer.

Buyer is responsible for evaluation of received merchandise for final acceptance. All claims for shortages must be made within 5 business days of receipt of merchandise.

WARRANTY: Marshall Wolf Automation services warranty claims in accordance with the warranties granted by the manufacturer of the merchandise in question. Marshall Wolf Automation does not warrant any products against damage from corrosion, contamination, misapplication, improper specification or operating conditions beyond our control.

No person has the authority to warrant any product sold by Marshall Wolf Automation beyond warranties offered by the manufacturer of said product. Marshall Wolf Automation is not liable for incidental or consequential damages resulting from use of the product whether a claim for such damages is based upon warranty, contract, negligence or other fault.

Products covered by a manufacturer’s warranty are eligible for return for repair, replacement or possible credit. Please contact us within 15 days of failure.

Marshall Wolf Automation products carry the manufacturer warranty of at least one year. Products that are damaged or modified are not covered under warranty.

Marshall Wolf Automation sells new products and honors all manufacturer warranties. Warranties do vary by manufacturer.

RETURNS: No merchandise shall be returned unless return authorization has been secured from Marshall Wolf Automation. All returns must comply with Marshall Wolf Automation’s return policy and procedure which is posted on our website.

Please check the contents of your packages upon receipt, we ask that any discrepancies are brought to our attention within 3 days of delivery.

IMPORT/EXPORT: If you, or your designated freight forwarder, have a U.S. address, purchase goods from Marshall Wolf Automation, Inc. to be shipped to a U.S. location and then subsequently export the goods, you or the designated freight forwarder are considered the exporter and are solely responsible for compliance with all export and import regulations. This includes all U.S. export regulations and the import regulations of the destination country.

Marshall Wolf Automation, Inc. must not be listed on any export documentation including invoices, packing lists, air waybills, export declarations, etc. It is your responsibility to use your U.S. address or that of your freight forwarder.

ACCEPTANCE: These terms and condition of sale cover all products which the buyer may hereafter acquire at any time from supplier. No waivers or modifications shall be valid unless the same are in writing and executed by the parties hereto. These terms and agreements shall apply and accrue to the benefit of, and be binding upon the heirs, executors, administrators, successors, and assigns of the respective parties.

In the event of any litigation arising out of the above terms and conditions of sales, the supplier shall be entitled to its reasonable costs and expenses incurred including attorney fees.

These terms and conditions of sale shall be governed by the laws of the State of Illinois.
